Our corporate law practice covers the incorporation and organization of corporations, obtaining its charter, issuing shares, organizing its structure, drafting the appropriate minutes and resolutions, setting up of initial accounting procedures, increase and/or decrease of capital stock.
We also appear and represent clients in intra-corporate or partnership relations before the Securities and Exchange Commission (SEC). We also act as directors, consultants, and corporate secretaries for clients. The work entails attendance at board and stockholders’ meetings, counselling during the meetings, preparation and keeping of minutes, resolutions and stock transfer books, issuance of stock certificates and documentation of stock transfer transactions.
